Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PliOS compliance management platform and related websites and services (collectively, the "Service") operated by PliOS ("PliOS," "we," "us," or "our") at plios.co. By creating an account or using the Service, you agree to these Terms.

1. The Service

PliOS provides software tools to help financial institutions and related businesses manage compliance workflows, including assessments, policies, procedures, risk assessments, filing tracking, vendor management, and AI-assisted drafting. The Service is a technology platform only.

PliOS does not provide legal, regulatory, tax, or accounting advice. Outputs from the Service — including AI-generated content — are for informational and operational purposes only. You are solely responsible for reviewing all materials for accuracy and suitability and for obtaining advice from qualified professionals before relying on them for regulatory or legal decisions.

2. Eligibility and Accounts

You must be at least 18 years old and authorized to act on behalf of your organization (if applicable) to use the Service. You agree to provide accurate account information and keep your credentials confidential. You are responsible for all activity under your account.

If you invite team members, you represent that you have authority to grant them access to your organization's workspace and data.

3. Subscriptions and Payment

Paid plans are billed on a subscription basis through Stripe. By subscribing, you authorize us and Stripe to charge your payment method on a recurring cycle until you cancel. Fees are stated at checkout or on our pricing page and are non-refundable except where required by law or explicitly stated otherwise.

We may change pricing with reasonable notice. Price changes apply to subsequent billing periods. Failure to pay may result in suspension or termination of access.

4. Acceptable Use

You agree not to:

• Use the Service in violation of applicable law or regulation;
• Upload malware or attempt to disrupt, probe, or reverse engineer the Service;
• Access another user's account or data without authorization;
• Misrepresent your identity or affiliation;
• Use the Service to store or transmit unlawful, infringing, or abusive content;
• Resell, sublicense, or scrape the Service except as expressly permitted.

We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a security or legal risk.

5. Your Content

You retain ownership of data, documents, and other content you submit to the Service ("Customer Content"). You grant PliOS a limited license to host, process, and display Customer Content solely to provide and improve the Service, including operating AI-assisted features you request.

You represent that you have the rights necessary to submit Customer Content and that doing so does not violate third-party rights or applicable law.

6. AI Features

Certain features use artificial intelligence to generate or suggest content. AI outputs may be incomplete, outdated, or incorrect. You must review all AI-generated content before use. PliOS is not responsible for decisions you make based on AI outputs.

7. Intellectual Property

PliOS and its licensors own the Service, including software, design, templates, and branding, subject to your rights in Customer Content. These Terms do not grant you any rights to our trademarks or proprietary materials except as needed to use the Service.

8. Confidentiality

We treat Customer Content as confidential business information and use it only as described in our Privacy Policy and these Terms. You agree to keep non-public information about the Service (such as unreleased features or pricing offered to you under a custom agreement) confidential.

9. Third-Party Services

The Service may integrate with or link to third-party services (for example, payment processors or authentication providers). Your use of those services is subject to their terms and policies. PliOS is not responsible for third-party services.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLIOS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUTS WILL MEET REGULATORY REQUIREMENTS IN YOUR JURISDICTION.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLIOS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PLIOS IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You will defend, indemnify, and hold harmless PliOS from claims, damages, and expenses (including reasonable attorneys' fees) arising from your Customer Content, your use of the Service, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Service at any time. You may cancel a paid subscription through your account settings or by contacting us. We may suspend or terminate access for violation of these Terms or non-payment. Upon termination, your right to access the Service ends. Sections that by their nature should survive (including payment obligations, disclaimers, limitation of liability, and indemnification) will survive termination.

14. Changes

We may modify these Terms from time to time. We will post updated Terms on this page and update the effective date. Material changes may be communicated by email or in-app notice. Continued use after changes become effective constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction.
